1. Agreement to Terms

By accessing or using our coworking space management platform, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using this platform.

2. Description of Service

Our platform provides a marketplace connecting coworking space hosts with guests seeking workspace. We facilitate listings, bookings, payments, and communications between parties. We act as an intermediary and are not a party to the actual booking agreements between hosts and guests.

3. User Accounts

3.1 Registration

To access certain features, you must register for an account. You agree to:

Provide accurate, current, and complete information
Maintain and update your information to keep it accurate
Maintain the security of your account credentials
Notify us immediately of any unauthorized access
Be responsible for all activities under your account

3.2 Account Types

We offer two account types: Host accounts for space owners and Guest accounts for those seeking workspaces. Each account type has different features and responsibilities.

4. Host Obligations

As a host, you agree to:

Provide accurate and honest descriptions of your spaces
Use current, high-quality photos that accurately represent the space
Honor confirmed bookings and provide the advertised amenities
Maintain your space in safe, clean, and working condition
Comply with all applicable laws, regulations, and permits
Respond promptly to booking requests and guest communications
Handle guest data in accordance with privacy laws
Not discriminate against guests based on protected characteristics

5. Guest Obligations

As a guest, you agree to:

Provide accurate information when making bookings
Honor confirmed bookings and cancellation policies
Treat spaces with respect and follow house rules
Leave spaces in the condition you found them
Pay for any damages you cause
Not use spaces for illegal activities
Communicate respectfully with hosts

6. Bookings and Payments

6.1 Booking Process

When a guest books a space, a binding agreement is formed between the guest and host. We facilitate this transaction but are not a party to it.

6.2 Pricing and Fees

Hosts set their own pricing. Our platform charges:

10% commission on successful bookings
No upfront costs or monthly subscription fees
Hosts only pay when they earn from confirmed bookings

6.3 Payment Processing

Payments are processed through third-party payment processors. You agree to their terms and conditions. We are not responsible for payment processing errors or disputes.

6.4 Cancellations and Refunds

Cancellation policies are set by individual hosts. Refunds are subject to the applicable cancellation policy. We may mediate disputes but are not obligated to provide refunds.

7. Prohibited Activities

You may not:

Violate any laws or regulations
Infringe on intellectual property rights
Upload malicious code or viruses
Attempt to gain unauthorized access to systems
Scrape or harvest data from the platform
Impersonate others or provide false information
Harass, abuse, or harm other users
Post offensive, fraudulent, or misleading content
Circumvent payment systems or fees
Use the platform for any illegal purpose

8. Content and Intellectual Property

8.1 Your Content

You retain ownership of content you post. By posting content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display your content for operating and promoting the platform.

8.2 Our Content

All platform content, features, and functionality are owned by us and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works without permission.

9. Disclaimers and Limitation of Liability

9.1 Platform "As Is"

The platform is provided "as is" without warranties of any kind. We do not guarantee uninterrupted, secure, or error-free operation.

9.2 Third-Party Interactions

We are not responsible for the conduct of hosts or guests, the condition of spaces, or disputes between users. You agree to interact with other users at your own risk.

9.3 Limitation of Liability

To the maximum extent permitted by law, we are not liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly.

10. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the platform, violation of these terms, or infringement of any rights of another party.

11. Termination

We may suspend or terminate your account at any time for violations of these terms or for any other reason at our discretion. You may terminate your account at any time by contacting us. Upon termination:

Your right to use the platform ceases immediately
We may delete your content and account data
You remain liable for any outstanding obligations
Existing bookings may be honored or cancelled as appropriate

12. Dispute Resolution

12.1 Governing Law

These terms are governed by applicable laws, without regard to conflict of law provisions.

12.2 Arbitration

Any disputes arising from these terms or your use of the platform shall be resolved through binding arbitration, except where prohibited by law.

13. Modifications to Terms

We reserve the right to modify these terms at any time. We will notify you of material changes by posting updated terms on the platform and updating the "Last updated" date. Your continued use after changes constitutes acceptance of the modified terms.

14. General Provisions

Severability: If any provision is found unenforceable, the remaining provisions remain in effect
Waiver: Failure to enforce any right does not waive that right
Assignment: You may not assign these terms without our consent
Entire Agreement: These terms constitute the entire agreement between you and us
